Welcome to AskAloud. These Terms of Service ("Terms") govern your access to and use of the AskAloud platform, including our website, applications, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Service Description
AskAloud provides an AI-powered conversational agent platform that enables businesses to:
- Create and deploy AI agents on their websites
- Capture and qualify leads through conversations
- Integrate with CRM systems (HubSpot, and others)
- Build and manage knowledge bases for AI agents
- Analyze conversation data and performance metrics
2. Account Registration
2.1 Eligibility
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.
2.2 Account Requirements
To use the Service, you must:
- Provide a valid email address
- Create a secure password
- Provide accurate and complete registration information
- Maintain the security of your account credentials
2.3 Account Responsibility
You are responsible for:
- All activities that occur under your account
- Maintaining the confidentiality of your login credentials
- Notifying us immediately of any unauthorized use
2.4 Workspaces
The Service operates on a workspace model where:
- Each workspace is a separate environment for your organization
- Users can have different roles (owner, admin, member, viewer)
- Workspace owners are responsible for their workspace's compliance with these Terms
3. Subscription Plans and Payment
3.1 Service Tiers
We offer multiple subscription tiers including:
- Free: Limited features for evaluation
- Starter: For small teams
- Pro: For growing businesses
- Enterprise: Custom solutions for large organizations
3.2 Billing
- Subscriptions are billed monthly or annually
- Payment is processed through Stripe
- Prices are in USD unless otherwise specified
- You authorize us to charge your payment method for recurring subscription fees
3.3 Usage Limits
Each tier includes limits on:
- Number of agents
- Number of website installations
- Monthly conversations
- Monthly conversation turns
- Knowledge bases
- Team members
Exceeding these limits may result in service restrictions or automatic upgrades.
3.4 Renewals
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
3.5 Cancellation
You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
3.6 Refunds
We do not provide refunds for partial billing periods. Contact support@askaloud.co for exceptional circumstances.
4. Acceptable Use Policy
4.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms.
4.2 Prohibited Activities
You agree NOT to:
Abuse and Security
- Attempt to bypass rate limits or usage restrictions
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any part of the Service
- Use automated tools to scrape or extract data without permission
- Reverse engineer, decompile, or disassemble the Service
Content and Behavior
- Use the Service to send spam or unsolicited messages
- Collect personal information without proper consent
- Impersonate any person or entity
- Use the Service for harassment, threats, or abuse
- Distribute malware or malicious code
Legal Violations
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Process data in violation of privacy laws
- Engage in fraudulent activities
4.3 Rate Limits
The Service includes rate limiting to ensure fair usage:
- Request limits per minute
- Total requests per session
- Maximum concurrent connections
Violations may result in temporary or permanent restrictions.
5. Content and Intellectual Property

You retain ownership of content you upload to the Service, including:

- Agent configurations and prompts

5.2 Content License
By uploading content, you grant us a limited license to:
- Process and display your content to operate the Service
- Use your content to train and improve AI responses for your agents
- Store and backup your content
5.3 User-Generated Content
Conversation data generated by your website visitors:
- Is collected and processed according to our Privacy Policy
- Remains accessible to you through your workspace
- May be used to improve our AI models (in anonymized form)
5.4 AskAloud Intellectual Property
The Service, including its design, features, and technology, is owned by AskAloud. You may not:
- Copy, modify, or distribute our software
- Use our trademarks without permission
- Create derivative works based on our Service
5.5 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.
6. Third-Party Integrations
6.1 CRM Integrations
When you connect third-party services (HubSpot, etc.):
- You authorize us to access and sync data with those services
- You are responsible for compliance with their terms of service
- We are not responsible for issues caused by third-party services
6.2 AI Service Providers
Our Service uses third-party AI providers (OpenAI, Anthropic, Groq). Your use of these services through our platform is subject to their terms and usage policies.
7. Data and Privacy

8.2 AI Responses
AI-generated responses:
- Are not professional, legal, medical, or financial advice
- May contain errors or inaccuracies
- Should be reviewed before relying on them for important decisions
8.3 No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of AI responses
9. Limitation of Liability
9.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.2 Exclusion of Damages
WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or data

- Content you upload or create
- Your violation of applicable laws
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through the billing portal
- Contacting support@askaloud.co to request account deletion
11.2 Termination by Us
We may suspend or terminate your access to the Service:
- For violation of these Terms
- For non-payment of fees
- For extended inactivity
- If required by law
- For any reason with 30 days notice
11.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your data after a reasonable period
- Provisions that should survive termination will remain in effect
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
12.2 Informal Resolution
Before filing any claim, you agree to try to resolve the dispute informally by contacting support@askaloud.co.
12.3 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12.4 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AskAloud regarding the Service.
13.2 Modifications
We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.
13.3 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
13.4 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
13.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
13.6 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, wars, or government actions.
